1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and CRMLink.ai, Inc. ("CRMLink," "we," "us," or "our"). By creating an account, accessing, or using the CRMLink platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using CRMLink on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the platform.
2. Account Registration & Security
To use CRMLink, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account, whether authorized by you or not
- Notifying us immediately at security@crmlink.ai if you suspect unauthorized access to your account
- Ensuring that all users added to your account comply with these Terms
You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that contain false or misleading registration information.
3. Description of Services
CRMLink provides a unified communications platform that includes:
- Cloud Phone System — Business phone numbers, call routing, voicemail, IVR, and call recording
- Power Dialer — Automated outbound dialing with campaign management and call disposition tracking
- CRM — Contact management, deal pipelines, lead tracking, notes, and activity history
- Mobile Apps — iOS and Android applications with full platform functionality
- Integrations — Connections to third-party services such as Salesforce, HubSpot, and Zapier

4. Subscriptions & Billing
Plans and Pricing
CRMLink offers multiple subscription plans billed on a per-user, per-month basis. Pricing is listed on our Pricing page and may be updated from time to time. We will notify you at least 30 days before any price increase takes effect on your account.
Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis depending on your selected billing cycle. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Payment Methods
We accept major credit cards (Visa, Mastercard, American Express, Discover) and ACH bank transfers. Annual Enterprise contracts may also be paid by wire transfer. All payments are processed securely through Stripe.
Failed Payments
If a payment fails, we will attempt to charge your payment method up to three additional times over 10 days. If all attempts fail, your account may be suspended until payment is resolved. You remain responsible for all charges incurred during the billing period.
Taxes
All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any sales tax, VAT, or similar taxes imposed by your jurisdiction. We will add applicable taxes to your invoice where required by law.
5. Acceptable Use Policy
You agree to use CRMLink only for lawful purposes and in compliance with all applicable laws and regulations. You may not:
- Use the platform for unsolicited bulk calling, spam, or any activity that violates the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or equivalent local regulations
- Transmit any material that is harassing, threatening, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform
- Use the platform to store or transmit malware, viruses, or other harmful code
- Resell, sublicense, or redistribute access to the platform without our written consent
- Interfere with or disrupt the integrity or performance of the platform or its infrastructure
- Use automated scripts or bots to access the platform except through our published APIs
We reserve the right to suspend or terminate your account immediately if we determine that you have violated this Acceptable Use Policy.
6. Your Data & Content
Ownership
You retain all rights, title, and interest in the data and content you upload, create, or store on the CRMLink platform ("Your Data"). We do not claim ownership of Your Data.
License to Us
By using the platform, you grant CRMLink a limited, non-exclusive license to access, process, and display Your Data solely for the purpose of providing and improving the services. We will not use Your Data for any other purpose without your consent.
Data Portability
You may export Your Data at any time through the platform's export functionality. Supported formats include CSV and Excel. Upon account termination, we will make Your Data available for export for 90 days before permanent deletion.
Data Protection
We handle Your Data in accordance with our Privacy Policy and implement industry-standard security measures as described therein. If you process personal data of EU residents, you may request a Data Processing Agreement (DPA) by contacting privacy@crmlink.ai.
7. Intellectual Property
The CRMLink platform, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by CRMLink.ai, Inc. and is protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business purposes during the term of your subscription. This license does not include the right to:
- Copy, modify, or create derivative works based on the platform
- Use our trademarks, logos, or branding without prior written consent
- Remove or alter any proprietary notices or labels on the platform
8. Third-Party Integrations
CRMLink integrates with third-party services to extend platform functionality. When you enable a third-party integration:
- You authorize CRMLink to exchange data with the third-party service as necessary to enable the integration
- Your use of the third-party service is governed by that service's own terms and privacy policy
- CRMLink is not responsible for the availability, accuracy, or practices of third-party services
- We may disable integrations that pose a security risk or violate these Terms
9. Service Level & Availability
We strive to maintain 99.99% platform uptime. Our Service Level Agreement (SLA) applies to Professional and Enterprise plans and provides the following commitments:
- 99.99% uptime — measured on a monthly basis, excluding scheduled maintenance
- Scheduled maintenance — performed during off-peak hours (Sunday 2:00–6:00 AM CT) with at least 48 hours' advance notice
- Service credits — if monthly uptime falls below 99.99%, eligible customers may request account credits proportional to the downtime
To request an SLA credit, contact support@crmlink.ai within 30 days of the incident. SLA credits are applied to future invoices and do not exceed 30% of your monthly subscription fee.
10. Termination
Termination by You
You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of your current billing period. You will retain access to the platform until that date, and no prorated refunds will be issued for the remaining period.
Termination by Us
We may suspend or terminate your account if:
- You breach these Terms or our Acceptable Use Policy
- Your payment is overdue for more than 15 days
- We are required to do so by law or legal process
- Your use of the platform poses a security risk to us or other customers
Where possible, we will provide at least 7 days' written notice before termination, except in cases of immediate security risk or legal obligation.
Effect of Termination
Upon termination, your right to access the platform ceases immediately (or at the end of the billing period for voluntary cancellations). We will retain Your Data for 90 days after termination to allow export, after which it will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will remain in effect.
11. Disclaimers & Limitation of Liability
Disclaimers
THE CRMLINK PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee specific results from the use of the platform.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRMLINK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO CRMLINK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL CRMLINK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF CRMLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless CRMLink.ai, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use or misuse of the platform
- Your violation of these Terms or any applicable law
- Your Data or content uploaded to the platform
- Your violation of any third party's rights
13. Dispute Resolution
Informal Resolution
Before filing any formal legal action, you agree to first contact us at legal@crmlink.ai and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If the dispute cannot be resolved informally, you and CRMLink agree to resolve it through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas, and the arbitrator's decision shall be final and binding.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought exclusively in the federal or state courts located in Travis County, Texas.
14. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the platform at least 30 days before the changes take effect. Your continued use of CRMLink after the effective date constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the platform and cancel your subscription before the changes take effect.
